These Terms of Service ("Terms") govern your access to and use of the Kardania platform, including the Loop web application, the Connect public-profile service, the Kardania mobile application, and any related services (collectively, the "Services"). By creating an account, signing in, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
- Account — a registered organization workspace on Loop (the "Enterprise Account") or an individual user account on Connect (the "Individual Account").
- Account Owner — the natural person designated as the primary administrator of an Enterprise Account, with exclusive rights to request account deletion, transfer ownership, and approve billing-related changes.
- Account Admin — a user holding the Full Access role within an Enterprise Account.
- Team Member — any user invited to an Enterprise Account in a role other than Account Admin, including Brand Manager and Branch Manager roles.
- Brand / Branch — organizational sub-units within an Enterprise Account.
- Loop — our enterprise customer-relationship-management and business-networking SaaS application.
- Connect — our public-profile service that allows individuals to publish a digital profile accessible via a public URL.
- Mobile App — the Kardania companion mobile application available on iOS and Android.
- Subscription Plan — the paid plan you select for Loop or Connect Premium, with associated features, limits, and billing terms.
- Billing Cycle — the recurring period (monthly or annual) for which your Subscription Plan is paid in advance.
- User Content — any data you or your Team Members upload, create, or submit to the Services, including contacts, customer records, business cards, profile information, and form submissions.
2. The Services
Kardania operates three distinct but interconnected services:
Loop (Enterprise SaaS) — a multi-tenant customer-relationship-management platform for businesses. Enterprise Accounts may invite multiple users, organize them by brand and branch, manage customer and contact records, send marketing materials, integrate with third-party CRMs, and analyze business activity. Subscription Plans control feature availability and usage limits.
Connect (Individual Public Profile) — a service for individuals to publish a digital business profile at a public URL. Connect is available as a free tier and as a paid "Connect Premium" tier purchased through the Mobile App via Apple App Store or Google Play in-app purchases.
Mobile App — the companion application for iOS and Android. The Mobile App provides on-the-go access to Connect profiles, business-card scanning (powered by artificial intelligence), and lifecycle management for Connect Premium subscriptions.
Campaigns (a Loop feature) — within Loop, Enterprise Accounts may create campaign workspaces that include publicly accessible landing pages, shared files, a team chat ("Team Space"), linked data-capture forms, and visitor analytics. Campaign landing pages are published to public URLs; when published, they may collect limited visitor data and any form submissions that visitors choose to make (see our Privacy Policy). Campaign workspaces are part of Loop and are governed by your Loop Subscription Plan.
We may add, modify, or discontinue features at our discretion. Material changes that adversely affect paid features will be announced in advance where commercially reasonable.
3. Account Registration and Roles
3.1 Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. You must provide accurate, current, and complete information during registration and keep it accurate thereafter.
3.2 Authentication
- Loop uses email-and-password authentication with one-time-password ("OTP") verification at registration. Sessions use secure, http-only cookies. We may require re-authentication after periods of inactivity.
- Connect (Mobile App) supports email-and-password registration as well as sign-in with Apple and sign-in with Google. Each account is linked to a single authentication provider; you cannot switch providers without contacting support.
- You are responsible for safeguarding your credentials. Do not share your password. You are responsible for all activity that occurs under your account.
- If you suspect unauthorized access, contact [email protected] immediately.
3.3 Roles within an Enterprise Account
Loop supports the following roles, with permissions inherited downward:
- Account Owner — the natural person who first created the Enterprise Account (or a person to whom ownership has been transferred by a Kardania administrator). Only the Account Owner may request account deletion or initiate a full data export.
- Account Admin (Full Access) — full administrative rights including user management, billing, and configuration.
- Brand Manager — manage users and data scoped to one or more brands.
- Branch Manager — manage users and data scoped to a single branch.
- Team Member — standard operating role, scoped per assignment.
Each Enterprise Account has exactly one Account Owner at a time. Transfer of ownership requires a request to [email protected].
3.4 Invitations
Account Admins and Brand/Branch Managers (subject to scope) may invite Team Members by email. Invitations expire if unused. By accepting an invitation, the invitee agrees to these Terms.
4. Subscription Plans — Loop
4.1 Plan tiers
Loop is offered in multiple tiers, including a free tier and several paid tiers. The features, user-seat allowances, contact limits, branch limits, integration limits, AI request limits, and API rate limits associated with each tier are published in the application and on our website and may be updated from time to time. Limits are enforced in real time and apply to the entire Enterprise Account.
4.2 Billing cycles
Paid Loop plans are billed on a recurring monthly or annual basis, payable in advance at the start of each Billing Cycle. The cycle begins on the day you subscribe (or on the day the plan change takes effect) and renews automatically.
4.3 Currencies and taxes
Prices are displayed in the currency selected by your Account Admin. Applicable taxes (including UAE VAT where required) are added at checkout or shown separately on your invoice. You are responsible for any withholding or local taxes imposed by your jurisdiction.
4.4 Auto-renewal
All paid Loop plans renew automatically at the end of each Billing Cycle for another period of the same length, charged to the payment method on file, unless you cancel before renewal (see Section 11).
5. Subscription Plans — Connect Premium (Mobile In-App Purchase)
5.1 How Connect Premium is sold
Connect Premium is sold exclusively as an in-app purchase through the Apple App Store (for iOS users) or Google Play (for Android users). Pricing is set per-territory by the respective stores and is shown in the Mobile App at the point of purchase, in the local currency configured on your device.
5.2 Auto-renewal
Connect Premium subscriptions auto-renew at the end of each Billing Cycle through your Apple ID or Google account, subject to the terms of Apple App Store or Google Play. You can view, manage, or cancel your subscription at any time directly through your device's subscription settings.
5.3 Platform isolation
A purchase made through Apple is valid only on the Apple platform; a purchase made through Google is valid only on the Android platform. If you wish to switch platforms, you must cancel your existing subscription and purchase separately on the new platform. We cannot grant cross-platform entitlements from a single purchase.
5.4 Restore purchases
If you reinstall the Mobile App, change devices, or sign in on a new device, you can restore an active subscription using the "Restore Purchases" function in the app. Restoration is subject to verification by the originating store.
5.5 Apple / Google billing relationship
When you purchase Connect Premium, the contract for that transaction is between you and Apple (or you and Google). Kardania is not party to that payment transaction. Apple and Google determine the price, accept the payment, issue receipts, and process refunds. We receive only the entitlement signal that the purchase succeeded.
6. Free Trials
We may offer a free trial of certain Loop plans from time to time. If a trial is offered:
- The trial converts automatically into a paid subscription at the trial's end, charged to the payment method on file, unless you cancel before the trial ends.
- We will send a reminder email before the trial ends.
- Trial features and duration are described at the point of trial signup.
- One trial per Enterprise Account, unless we expressly offer otherwise.
- If you cancel during the trial, you retain trial access through the original trial end date and are not charged.
Trials are not currently offered for Connect Premium.
7. Billing and Payment
7.1 Payment methods — Loop
Loop accepts payment by credit and debit card via Stripe. By providing a payment method, you authorize us (through Stripe) to charge the recurring fees for your selected Subscription Plan and to retain payment-method details for that purpose. We do not store full card numbers; tokenized card data is held by Stripe.
7.2 Payment methods — Connect Premium
Payment for Connect Premium is handled exclusively by Apple App Store or Google Play. We do not have access to your payment details.
7.3 Invoices
Each successful Loop charge generates an invoice available in the Billing area of the application. Invoices include the line items, tax (if any), and payment status.
7.4 Failed payments — Loop
If a Loop renewal payment fails, we will automatically retry the charge on a schedule set by our payment processor (typically up to four attempts over approximately two weeks). During this retry period:
- You may update your payment method at any time and trigger an immediate retry from the Billing area.
- We will send notification emails when payment fails.
- Your access to paid features continues uninterrupted during this period.
If all retry attempts fail and the invoice is marked uncollectible, your Account enters a grace period of 14 days. If payment is not received during the grace period, the Account is locked (read-only) until the outstanding balance is paid. Locked Accounts cannot create new records, send marketing, or use AI features, but data remains available for download.
7.5 Offline (invoice-billed) accounts
By prior arrangement, some Enterprise Accounts may be billed offline via direct invoice rather than through Stripe. Offline Accounts are governed by a separate agreement and are not subject to the auto-renewal or grace-period mechanics above. Contact [email protected] for offline-billing arrangements.
8. Upgrades (Plan and Seat Increases)
8.1 Plan upgrade
When you upgrade to a higher Loop plan mid-cycle, the change is effective immediately and you gain access to the new features and limits at once. The difference in price between your existing plan and the upgraded plan is prorated for the remaining days of the current Billing Cycle and charged immediately. From the next Billing Cycle onward, you are billed the full price of the new plan.
8.2 Seat increase
Adding additional user seats follows the same logic: the change is effective immediately, and a prorated charge for the remainder of the cycle is applied at once. From the next Billing Cycle onward, your renewal price reflects the new seat count.
8.3 Receipts
A receipt for any prorated charge is generated and available in the Billing area.
9. Downgrades (Plan and Seat Decreases)
9.1 Plan downgrade
When you downgrade to a lower Loop plan, the change is scheduled for the end of the current Billing Cycle. You retain access to your current plan's features and limits until that date. On the next renewal date, the lower plan takes effect and the lower price is charged.
We will send a reminder email before the downgrade takes effect, so you have an opportunity to reverse the change if you wish.
9.2 Seat decrease
Removing user seats follows the same end-of-cycle logic. Existing users in seats beyond the new limit retain access until the change takes effect; you (or an Account Admin) must designate which users to remove if more users exist than the new seat count allows.
9.3 Why downgrades are deferred
Loop's billing model is "pay in advance." A downgrade applied mid-cycle would result in unused service you had already paid for. Deferring the downgrade ensures you receive the value of what you have already paid for.
9.4 Cancelling a scheduled downgrade
You may cancel a scheduled downgrade or seat decrease at any time before the next Billing Cycle starts, from the Billing area.
9.5 Connect Premium downgrade and data archival
When a Connect Premium subscription ends or is downgraded to the free tier, any profiles, contact records, or connectors that exceed the free tier's limits are archived — hidden from your public profile and from your active workspace — rather than deleted immediately. Your oldest items that fit within the free-tier limit remain active. Archived items are retained for 30 days; if you re-subscribe to Connect Premium within that window, they are restored automatically. After 30 days, items that remain over the free-tier limit are permanently deleted.
10. Cancellation
10.1 How to cancel
- Loop: cancel your Subscription Plan from the Billing area of the application. The Account remains on the current plan until the end of the current Billing Cycle, after which it reverts to the free tier (or is locked if no free tier is available for your data volume).
- Connect Premium: cancel from your device's subscription management in Apple App Store or Google Play. You retain access to Connect Premium features until the end of the period you have paid for, after which your profile reverts to the free Connect tier.
10.2 No refunds
Subscription fees are non-refundable. We do not provide refunds or credits for:
- partial Billing Cycles,
- unused service after cancellation,
- features unused during a Billing Cycle,
- downgrades applied mid-cycle (which is why downgrades are deferred to the end of the cycle — see Section 9),
- Connect Premium purchases (refunds for those are handled solely by Apple App Store or Google Play under their respective refund policies).
This no-refund policy applies regardless of the reason for cancellation, including (without limitation) lack of use, dissatisfaction with the Services, or change of mind.
10.3 Pending cancellation notice
Once you initiate a cancellation, the application will display a "Pending Cancellation" banner showing the date your subscription ends. We will send a reminder email three days before the cancellation date.
10.4 Reactivation
You may reactivate a cancelled Loop subscription at any time before the cancellation takes effect by reversing the cancellation from the Billing area. After the cancellation takes effect, reactivation requires a fresh subscription.
11. Account Deletion
11.1 Self-service account deletion
Only the Account Owner may request deletion of an Enterprise Account. This is initiated from the "Delete Account" page in the application and requires:
- a typed confirmation of the account name (case-insensitive but exact match),
- agreement to these Terms (including the no-refund clause),
- explicit acknowledgement that deletion is irreversible after the cooldown period,
- (optional but recommended) requesting a data export before proceeding.
11.2 14-day cooldown period
After deletion is requested, the Account enters a 14-day cooldown period. During cooldown:
- The Account is locked in read-only mode. You and your Team Members can view and download data but cannot create, modify, or send anything.
- Stripe subscriptions are cancelled (set to cancel at the end of the current period). You will not be billed again.
- You may cancel the deletion at any time during the 14 days by visiting the cancellation link in the deletion-request email. The Account returns to normal operation. (Note: cancelling deletion does not automatically restart a cancelled Stripe subscription — you will need to re-subscribe.)
- A banner is displayed in the application showing the countdown.
11.3 Hard deletion at the end of cooldown
At the end of the 14-day cooldown, the Account and all associated data are permanently deleted by an automated process. This includes (without limitation):
- all user accounts, contacts, customers, brands, branches, activities, notes,
- all integration tokens (Zoho, Microsoft Entra),
- all uploaded files (avatars, business cards, branch media, form submissions),
- all audit logs related to the Account,
- all session and authentication tokens,
- the Stripe customer record.
Hard deletion is irreversible. Once an Account is hard-deleted, we cannot recover it.
11.4 Data export
Before or during the cooldown period, you may request a data export. The export is a ZIP archive containing CSV files for your data (users, customers, contacts, brands, branches, activities, form submissions, payment history) and a structured JSON summary. Connector secrets, OAuth tokens, password hashes, and per-account encryption keys are deliberately excluded.
When the export is ready, we will send you an email with a download link. The link is valid for 7 days and is not publicly indexable.
11.5 Administrative deletion
In cases of fraud, abuse, legal demand, or breach of these Terms, we may delete an Account immediately, without cooldown. We will notify the Account Owner where lawful to do so.
11.6 Audit log retention
A summary record of deletion events is retained in our audit logs after the Account is deleted, for legal-compliance and dispute-resolution purposes. The retained record contains the Account ID, deletion timestamp, requester user ID, and reason; it does not contain User Content.
12. Acceptable Use
You agree that, in connection with the Services, you will not:
- upload, store, or transmit any data that is illegal under UAE law or the law of any jurisdiction where you operate, including (without limitation) defamatory, obscene, harassing, threatening, or hate-speech content;
- upload data that infringes the intellectual property, privacy, or other rights of any third party;
- use the Services to send unsolicited bulk email ("spam") or any communication that violates anti-spam laws or the recipient's reasonable expectations;
- attempt to gain unauthorized access to other Accounts, the underlying infrastructure, or any data not belonging to you;
- introduce malware, viruses, or any code designed to interfere with the Services;
- scrape, crawl, or extract data from the Services through automated means except through the Services' published APIs and within published rate limits;
- attempt to reverse-engineer, decompile, or derive the source code of the Services, except to the extent expressly permitted by applicable law;
- resell, sublicense, or commercially exploit the Services or any portion thereof without our written consent;
- impersonate another person or misrepresent your affiliation with any person or organization;
- use the AI features (business-card scanning, AI insights) to process data you do not have lawful authority to process, including third-party personal data collected without consent.
We reserve the right to investigate and take action — including suspending or terminating Accounts — in response to violations of these rules.
13. Rate Limits and Usage Limits
The Services enforce technical limits on API request rates, AI feature usage, contact counts, branch counts, user seats, and other quantities, as defined by your Subscription Plan. When you exceed a limit, the relevant request will fail with a clear error message and an opportunity to upgrade where applicable.
Excessive, abusive, or automated usage (for example, scripted requests that ignore rate limits, or bursts intended to degrade service for other users) may result in temporary or permanent rate restrictions on your Account, in addition to any other remedies available under these Terms.
14. AI Features
14.1 What AI processes
Some Loop and Mobile App features use artificial intelligence to:
- recognize and extract structured data from images of business cards (the "Business Card Scan"),
- generate summary insights about customers and contacts (the "AI Insights").
To deliver these features, the relevant image or text content is sent to OpenAI, L.L.C. as our AI processing subprocessor. OpenAI processes the content solely to return the requested result and, under our agreement with them, does not use the content to train their general-purpose models.
14.2 Your authority to process
You represent and warrant that you have all necessary rights and consents to submit data to the AI features, including the consent of the data subject where required by law.
14.3 Accuracy disclaimer
AI outputs are probabilistic and may contain errors, omissions, or misinterpretations. You are responsible for reviewing AI-generated content before relying on it for any business decision. Do not use AI Insights as the sole basis for decisions that have legal or material financial consequences.
14.4 Opt-out
You may avoid AI processing by simply not using the AI features. The Services are fully functional without them.
15. Third-Party Integrations
Loop supports optional integrations with third-party services, currently including:
- Zoho CRM — synchronize customers and contacts.
- Microsoft Entra ID (also known as Azure AD) — single sign-on and directory synchronization.
When you authorize an integration, you grant Kardania permission to access the relevant data in the third-party service on your behalf using the credentials you provide (typically OAuth tokens). Integration credentials are encrypted at rest using envelope encryption backed by AWS Key Management Service.
You may revoke any integration at any time from the Integrations area, which deletes the stored credentials.
Your use of a third-party service through an integration is governed by that service's own terms and that service's own privacy policy. We are not responsible for the operation, data handling, or availability of third-party services.
16. Intellectual Property
16.1 Your content
You retain all rights to the User Content you upload. By using the Services, you grant Kardania a worldwide, royalty-free, non-exclusive license to host, process, transmit, and display your User Content solely for the purpose of providing the Services to you and your Team Members. We do not use your User Content to train our own models, sell it to third parties, or display it outside the context of the Services to you.
For Connect profiles and Loop campaign landing pages published to a public URL: by publishing, you authorize Kardania to display that profile or landing page publicly via the Services as you have configured it. You may unpublish it at any time.
16.2 Our content
The Services, including the Loop application, the Connect service, the Mobile App, the underlying source code, the Kardania logo, the user interface designs, and all related documentation and content (collectively, the "Kardania IP"), are owned by Kardania and protected by intellectual property laws. These Terms do not grant you any ownership of the Kardania IP. You receive only the right to use the Services in accordance with these Terms.
16.3 Feedback
If you send us suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
16.4 Trademarks
"Kardania", "Loop", and "Connect" are trademarks of Kardania. You may not use our trademarks in your own marketing, products, or domain names without our written consent.
17. Beta Features and Disclaimers
Loop is currently in a Beta phase. While we operate the Services to the best of our ability, certain features may be added, removed, or modified during this period. Beta features may not have the same reliability, performance, or feature completeness as fully released features. Use of Beta features is at your own risk.
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, secure against all threats, or that they will meet your specific business requirements.
18. Termination by Us
We may suspend or terminate your Account, with or without notice, if:
- you breach these Terms in a material way and (where the breach is curable) fail to cure within 14 days of our notice;
- you fail to pay amounts due and the failure is not cured during the grace period;
- we receive a credible report of unlawful or fraudulent activity by you using the Services;
- we are required to do so by law, court order, or government request;
- we discontinue the Services (in which case we will provide at least 30 days' advance notice and a means to export your data, where reasonable).
Upon termination, the access provisions of these Terms end, but provisions that by their nature should survive (including confidentiality, indemnity, limitation of liability, intellectual property, and dispute resolution) will continue.
19. Limitation of Liability
To the maximum extent permitted by applicable law:
- Kardania's total cumulative liability to you arising out of or relating to these Terms or the Services — whether in contract, tort, statute, or any other theory — will not exceed the greater of (a) the total amount you paid to Kardania for the Services in the twelve (12) months preceding the event giving rise to liability, or (b) fifty US dollars (USD 50), whichever is greater.
- Kardania will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including (without limitation) loss of profits, loss of business, loss of goodwill, loss of data, or cost of substitute services, even if advised of the possibility of such damages.
- Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
20. Indemnification
You agree to indemnify, defend, and hold harmless Kardania, its officers, employees, and agents, from and against any claim, demand, loss, liability, or expense (including reasonable lawyers' fees) arising out of or relating to:
- your User Content,
- your use of the Services in violation of these Terms or applicable law,
- your violation of the rights of any third party (including intellectual property and privacy rights),
- any data you submit to AI features without lawful authority.
We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.
21. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules.
Before initiating any formal proceeding, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for a period of at least 30 days.
If the dispute cannot be resolved informally, you and Kardania agree that the federal courts of the United Arab Emirates will have exclusive jurisdiction over any dispute, action, or proceeding arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.
22. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the "Last updated" date at the top of this document.
- For material changes — those that adversely affect your rights — we will notify Account Owners and Account Admins by email at least 30 days before the changes take effect, where reasonably practicable.
- For non-material changes (clarifications, formatting, fixing typos), we may make them without prior notice.
- Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services and may delete your Account.
We maintain prior versions of these Terms internally and will provide them on reasonable request to [email protected].
23. Other Provisions
23.1 Entire agreement
These Terms (together with our Privacy Policy and any pricing pages or order forms incorporated by reference) constitute the entire agreement between you and Kardania regarding the Services, superseding any prior agreement or understanding.
23.2 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
23.3 No waiver
Our failure to enforce any provision is not a waiver of our right to enforce it later.
23.4 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms to an affiliate, a successor entity in a merger or acquisition, or a purchaser of substantially all our assets, without your consent.
23.5 Force majeure
Neither party is liable for any failure or delay caused by events beyond reasonable control, including (without limitation) natural disasters, war, terrorism, civil unrest, government actions, network or power outages, or pandemic.
23.6 Independent contractors
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Kardania.
23.7 Language
These Terms are issued in English. If we provide a translation, the English version controls in case of any conflict.
23.8 Notices to you
We may send notices to you by email (to the address associated with your Account) or by in-application notification. It is your responsibility to keep your email address current.
